These Terms of Service ("Terms") govern your use of the ScalesGeeks Solutions website and the engagement of our professional services. By accessing our website or entering into a service agreement with us, you agree to these Terms.

1. Services

ScalesGeeks Solutions provides software engineering services including SaaS development, cloud services, DevOps, mobile development, custom software development, and code security audits. Specific deliverables, timelines, and pricing are defined in individual Statements of Work (SOW) or Service Agreements executed between ScalesGeeks and the client.

2. Engagement Terms

Project Agreements

All engagements are governed by a signed Statement of Work or Master Service Agreement. In the event of conflict between these Terms and a signed agreement, the signed agreement takes precedence.

Change Requests

Any scope changes outside the agreed SOW must be submitted as formal change requests and will be subject to additional time and cost estimates before work begins.

Client Responsibilities

Clients are responsible for providing timely access to necessary systems, documentation, and stakeholder availability required to execute the agreed scope. Delays caused by client unavailability may affect project timelines.

3. Intellectual Property

Client Ownership

Upon receipt of full payment for a project, clients own all custom code, designs, and deliverables created specifically for their project, as defined in the SOW.

ScalesGeeks IP

ScalesGeeks retains ownership of pre-existing tools, frameworks, internal libraries, and general methodologies used in delivering services. A perpetual, royalty-free license to use such components as part of the delivered work is granted to the client.

Third-Party Components

Open-source software and third-party components included in deliverables are subject to their respective licenses, which will be documented in the project handover.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. ScalesGeeks will not disclose client business information, source code, or technical specifications to third parties without written consent, except as required by law.

6. Warranties & Disclaimers

ScalesGeeks warrants that services will be performed in a professional manner consistent with industry standards. We provide a 30-day bug-fix warranty on delivered code covering defects in the original scope.

We do not warrant that delivered software will be error-free or that security audits will identify every vulnerability. Security landscapes change continuously; an audit represents a point-in-time assessment.

7. Limitation of Liability

To the maximum extent permitted by law, ScalesGeeks Solutions' total liability for any claim arising from our services shall not exceed the total fees paid for the specific project giving rise to the claim in the 3 months preceding the claim.

ScalesGeeks is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

8. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to date. ScalesGeeks will deliver all completed work product upon receipt of final payment.

9. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

10. Website Use

You may use our website for lawful purposes only. You must not use our website in any way that violates applicable local, national, or international laws, or transmit unsolicited commercial communications.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our website constitutes acceptance of updated Terms.
